Continuing Education Vault - Terms and Conditions

Thanks for using The Greater New York Dental Meeting Continuing Education Vault (sometimes referred to herein as "the Service" or "our Service"). These terms of service ("Terms") cover your use and access to our Service. Our Privacy Policy (described below) explains how The Greater New York Dental Meeting ("we" or "us") collects your information while our Acceptable Use Policy (described below) outlines your responsibilities when using our Service. By using and continuing to use our Service, you're agreeing to be bound by these Terms, including our Privacy Policy, as may be amended from time to time without notice, and posted on this website.

Your Materials

When you use our Service, you provide us with things like your files and content. Your materials are yours. These Terms don't give us any rights to your materials except for the limited rights that enable us to offer the Service.

We need your permission to do things like hosting and storing your material and backing it up. You give us permission to do those things, and this permission extends to our affiliates and trusted third parties we work with.

Your Responsibilities

The Continuing Education Vault is used by many Dental Professionals, and we're proud of the trust placed in us. In exchange, we trust you to use our Service responsibly. By using our Service, you are representing to us that you are a Dental professional.

Please safeguard your password to the Service, make sure that others don't have access to it, and keep your account information current. You are responsible for any use of the Service using your password.

You are responsible for maintaining and backing up any stored data. We are not responsible for any lost data or documentation.

You agree not to misuse the Continuing Education Vault service or help anyone else to do so. For example, you must not even try to do any of the following in connection with the Service:
  • reverse engineer the Services;
  • probe, scan, or test the vulnerability of any system or network;
  • breach or otherwise circumvent any security or authentication measures;
  • access, tamper with, or use non-public areas or parts of the Services, or shared areas of the Services you haven't been invited to;
  • interfere with or disrupt any user, host, or network, for example by sending a virus overloading, flooding, spamming, or mail-bombing any part of the Services;
  • access, search, or create accounts for the Services by any means other than our publicly supported interfaces (for example, "scraping" or creating accounts in bulk);
  • circumvent storage space limits; or
  • publish or share materials that violate any other party's copyright or other intellectual property rights, that are unlawfully pornographic or indecent, or that contain extreme acts of violence.

Modification and Termination

You're free to stop using our Service at any time. We also reserve the right to update, modify, suspend or end the Service at any time at our discretion and without notice and without liability. For example, we may suspend or terminate your use of the Service if you're not complying with these Terms, or use the Service in a manner that would cause us legal liability, disrupt the Services or disrupt others' use of the Service.

Service "AS IS"

We strive to provide a great service, but there are certain things that we can't guarantee. We do not warrant that the Service will be uninterrupted or error-free. To the fullest extent permitted by law, The Greater New York Dental Meeting, Second District Dental Society or New York County Dental Society, nor any of their respective affiliates, officers, directors, members, managers, partners, agents, suppliers or distributors (collectively, "GNYDM Parties") make no warranties, either express or implied, including warranties of merchantability, fitness for a particular use, or non-infringement, about the Service. The Service is provided on an "as is" and "as available" basis.

Limitation of Liability

To the fullest extent permitted by law, in no event will The Greater New York Dental Meeting or GNYDM Parties be liable for:
(a) any direct, indirect, special, incidental, punitive, exemplary or consequential damages, or
(b) any loss of use, data, business, or profits, regardless of legal theory.
(c) any damages in excess of $100.

Indemnification

You agree to indemnify, defend, and hold harmless The Greater New York Dental Meeting and GNYDM Parties (each an "Indemnified Party") from and against all liabilities, damages, and costs (including settlement costs and attorney's fees) arising out of any claim by a third party against any Indemnified Party regarding: (i) data that you store using the Service; (ii) use of the Service by you (or anyone using your password) in violation of this Agreement; (iii) any other breach of this Agreement or violation of law by you (or anyone using your password).

Entire Agreement

These Terms constitute the entire agreement between you and The Greater New York Dental Meeting with respect to the subject matter of these Terms and the Service, and supersede and replace any other prior or contemporaneous agreements, or terms and conditions applicable to the subject matter of these Terms. These Terms create no third party beneficiary rights.
